Role Summary We are seeking a highly skilled and experienced Corporate Paralegal to join our legal team. The ideal candidate will have a strong background in SEC filings and state registrations, and exposure to corporate governance in one or more of the United Kingdom, Germany or Switzerland.
Our paralegal will be responsible for providing comprehensive legal support to our corporate governance activities. This role requires exceptional organizational skills, attention to detail, and the ability to work independently in a fast-paced environment.
Key Responsibilities Prepare and file SEC documents, including Form 8-K, Section 16(a) filings, periodic reporting on Forms 10-Q and 10-K. Assist with state registrations and compliance, including annual reports and business licenses.
Coordinate corporate governance activities throughout the Autolus group, including subsidiaries in the United Kingdom, Germany and Switzerland. Maintain and organize corporate records, including minute books, resolutions, and bylaws.
Support corporate transactions, including financings, mergers and acquisitions. Conduct legal research and provide updates and analysis on various corporate legal matters.
Coordinate with external counsel and regulatory agencies as needed. Demonstrated skills and competencies E – Essential P – Preferred Experience Minimum of 5-7 years of experience as a corporate paralegal in a corporate legal department or law firm, with a focus on SEC filings and state registrations (E).
Experience managing corporate governance activities for entities in the United Kingdom, Germany and/or Switzerland (P). Qualifications Paralegal certification from an accredited institution (P).
Bachelor's degree in Paralegal Studies, Legal Studies, or a related field (P). Skills/Specialist knowledge Strong knowledge of federal and state securities laws and regulations (E).
Detailed understanding of corporate governance and related compliance matters (E). Excellent written and verbal communication skills (E).
Ability to manage multiple tasks and prioritize effectively (E). Detail-oriented with strong organizational skills (E).
Ability to work independently and as part of a team (E). Proficiency in legal research tools and software (E).
