Purpose Lead HAYA’s contract strategy, corporate governance, legal operations, and risk management activities across all commercial, research, and corporate frameworks to enhance operational efficiency, governance oversight, and legal technology automation while maintaining strict compliance standards.
Accountabilities Contract Strategy & Commercial Negotiations Lead complex contract negotiations and lifecycle management across commercial, research, clinical, and corporate agreements to ensure complete execution, obligation tracking, renewals, and amendments on target schedule. Develop and maintain contracting playbooks, fallback positions, clause libraries, and negotiation frameworks across cross-functional commercial touchpoints to standardize legal operations and accelerate negotiation cycle times. Utilize AI-assisted contract review, redlining, and risk assessment tools across incoming agreement workflows to improve speed, consistency, and overall review quality. Implement scalable contracting processes and technologies across enterprise operations to optimize efficiency while enforcing appropriate legal controls and governance standards.
Corporate Governance & Legal Operations Lead corporate governance processes, Board support activities, and record management across executive leadership workflows to maintain transparent, audit-ready governance documentation. Establish legal operations processes, contract repositories, reporting dashboards, and governance workflows across departmental data systems to drive operational clarity and centralized legal intelligence. Drive continuous improvement initiatives through workflow optimization and modern legal technology adoption to scale legal operations reliability across growing business units.
Oversee implementation, administration, and optimization of contract lifecycle management (CLM) systems and legal technology platforms to maximize platform utility and user adoption. Develop tracking metrics and reporting dashboards across contractual obligations, legal workloads, cycle times, risk exposure, and compliance logs to provide accurate visibility for executive leadership. Strategic Business Partnering Serve as a trusted advisor to executive leadership on contractual, governance, and business risk matters to enable informed, risk-mitigated corporate decision-making.
Coordinate external counsel relationships and legal budgets across external legal vendors to optimize legal spend, control costs, and ensure high-quality advisory deliverables. Support financing activities, strategic partnerships, licensing transactions, due diligence exercises, and corporate development initiatives across corporate growth projects to facilitate seamless business expansion and transaction execution. Identify spend reduction and process optimization opportunities through technology-enabled automation to increase corporate scalability and reduce operational friction.
Experience Extensive experience in commercial contracting, legal operations, corporate governance, contract management, paralegal leadership or related legal functions. Significant experience within biotechnology, pharmaceuticals, healthcare or other regulated industries. Demonstrated experience negotiating complex commercial agreements and managing external counsel.
Strong understanding of corporate governance, risk management and legal process design. Proven experience implementing and operating legal technology solutions, including contract lifecycle management systems, document management platforms and workflow automation tools. Advanced proficiency in AI-assisted legal and paralegal workflows, including contract review, clause analysis, due diligence, legal knowledge management, obligation tracking and document intelligence platforms.
Demonstrated ability to critically evaluate, validate and supervise AI-generated work product while ensuring appropriate quality, confidentiality and governance controls.
