Terms of Service

By accessing or using BioCareerAI ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Platform.

These terms constitute a legally binding agreement between you and BioCareerAI LLC. By checking the agreement box during registration, you acknowledge you have read, understood, and accepted these terms.

By creating an account, you represent that you are at least 18 years of age (or the minimum age required by applicable law in your jurisdiction).

• ·You must be at least 18 years old to create an account.
• ·You must be a human — automated account creation is prohibited.
• ·You must provide accurate and complete registration information.
• ·One person may maintain only one account. Duplicate accounts may be terminated.
• ·You are responsible for maintaining the confidentiality of your account credentials.

You agree to use BioCareerAI only for lawful purposes and in accordance with these terms. You must not:

• ·Upload false, misleading, or fabricated resume or professional information.
• ·Attempt to access other users' accounts, data, or private information.
• ·Use automated tools, bots, or scrapers to extract data from the Platform.
• ·Reverse engineer, decompile, or attempt to extract our AI models or algorithms.
• ·Use the Platform to harass, spam, or send unsolicited communications.
• ·Attempt to manipulate match scores, genome analysis, or AI outputs.
• ·Share your account credentials with any third party.
• ·Systematically use BioCareerAI outputs or data to develop or compete with our platform.
• ·Use the Platform in any way that violates applicable law or regulation.
• ·Frame, mirror, or simulate the appearance or functionality of the Platform.
• ·Impersonate BioCareerAI or imply affiliation or endorsement by BioCareerAI without our express written consent.
• ·Use scraping tools, crawlers, or automated methods to extract data from the Platform at scale.

Your content: You retain ownership of your resume, profile data, and any content you upload. By uploading content, you grant BioCareerAI a limited, non-exclusive license to process, analyze, and display it for the purpose of providing our services.

Our content: All Platform features, AI systems, algorithms, scoring methodologies, design, code, and content created by BioCareerAI are our exclusive intellectual property protected by copyright, trade secret, and patent law. You may not reproduce, distribute, or create derivative works from our proprietary content.

Feedback: If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the Platform without any obligation to you.

• ·Free tier: Available indefinitely with limited features as described on our pricing page.
• ·Premium subscriptions: Billed monthly or annually. Payments processed by Stripe.
• ·Cancellation: You may cancel anytime. Access continues until the end of your paid period.
• ·Refunds: We offer pro-rated refunds within 7 days of subscription purchase if you have not used premium features. Contact hello@biocareerai.com.
• ·Price changes: We reserve the right to modify pricing at any time. We will make reasonable efforts to notify active subscribers of material pricing changes where required by applicable law.
• ·Beta pricing: Current prices are launch/beta promotional rates and may change when the Platform exits beta.

Enterprise accounts are subject to additional terms agreed upon in writing. Enterprise users have access to candidate data only for roles to which candidates have explicitly applied. Unauthorized access to candidate data outside of active applications is prohibited and may result in immediate account termination and legal action.

Enterprise customers may request execution of a Data Processing Agreement (DPA) to satisfy GDPR Article 28 and similar requirements. The DPA is available at www.biocareerai.com/dpa.

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform, you agree to the confidentiality obligations described in the Privacy Policy, including obligations regarding BioCareerAI's proprietary technology and your personal data. These obligations are legally binding and survive termination of your account.

No employment guarantee: BioCareerAI is a career intelligence platform. We do not guarantee job placement, interview invitations, or employment outcomes.

AI accuracy: Our AI systems provide best-effort analysis. Match scores, genome analysis, and career recommendations are probabilistic and should be used as guidance, not as definitive assessments. You agree not to rely solely on AI-generated outputs for employment, hiring, or career decisions without independent evaluation.

Beta disclaimer: The Platform is provided "as is" during beta. We make no warranties of uninterrupted service, error-free operation, or fitness for a particular purpose.

AI-generated content: Our platform uses AI to generate match scores, career analysis, genome insights, and recommendations. These outputs are probabilistic and may be inaccurate, incomplete, or not suitable for your specific situation. Always exercise independent judgment before acting on AI-generated content.

Third-party services: The Platform relies on third-party services including AWS, Stripe, OpenAI, and others. We are not liable for interruptions or failures caused by these providers.

Limitation of liability: To the maximum extent permitted by law, BioCareerAI's total liability for any claim arising from these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless BioCareerAI LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• ·Your misuse of the Platform or violation of these Terms
• ·Your violation of any applicable law or third-party rights
• ·Any content you upload that is false, misleading, or infringes third-party rights

Informal resolution first: Before initiating any legal proceeding, you agree to contact us at hello@biocareerai.com and allow 30 days for good-faith resolution of any dispute.

Governing law: These Terms are governed by the laws of the Commonwealth of Massachusetts, United States. If informal resolution fails, disputes shall be resolved in state or federal courts in Suffolk County, Massachusetts. You waive any objection to jurisdiction or venue in such courts.

BioCareerAI is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to cloud infrastructure outages, third-party API failures, natural disasters, acts of government, or internet disruptions. We will make reasonable efforts to restore service as soon as practicable.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice. You may delete your account at any time from your account settings. Upon termination, your right to use the Platform ceases immediately. Confidentiality obligations, indemnification, intellectual property rights, and limitation of liability provisions survive termination.

Entire Agreement: These Terms, together with our Privacy Policy and any executed Data Processing Agreement, constitute the entire agreement between you and BioCareerAI regarding the Platform and supersede all prior agreements.

Severability: If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign or transfer your account or these Terms without our prior written consent. BioCareerAI may assign these Terms to an affiliate or successor entity without your consent.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.

Legal Notices: Legal notices to BioCareerAI must be sent to hello@biocareerai.com and to: BioCareerAI LLC, Boston / Cambridge, MA, USA. We will send notices to the email address associated with your account.

We may modify these Terms at any time by posting an updated version. We will make reasonable efforts to provide advance notice of material changes where required by applicable law. Continued use after notification constitutes acceptance. Current terms are always at www.biocareerai.com/terms.
