The Position In this highly visible senior executive role as Head of Legal M&A, Strategy & Governance, with key focus on leading Legal M&A, you will serve as a trusted advisor to senior leadership, negotiate and steer strategic transactions, and become a key member of Boehringer Ingelheim’s Global Legal Leadership Team, which is steering 350+ Legal and Compliance specialists.
You will lead an international legal expert team charged with strategic and complex transactions, shape the strategic direction, governance framework, and operating model of the company’s global Legal & Compliance function, ensuring it remains a strong business partner and enabler of long-term success. Working closely with the Global General Counsel and other senior stakeholders, you will drive enterprise-wide strategic initiatives, including M&A, organizational transformation, governance excellence, and the continuous evolution of Legal & Compliance capabilities in an innovation-driven company eager to expand into new therapeutic modalities. Tasks & Responsibilities Assume a highly influential senior executive leadership role with enterprise-wide responsibility for strategic M&A and venture capital transactions, corporate law and governance, antitrust, and ESG matters. Serve as a trusted strategic advisor to the company’s senior management and key decision-making bodies, providing guidance on major strategic transactions driving portfolio changes across Human and Animal Health, complex corporate matters, and governance topics. Lead, develop, and inspire a department of 10+ legal professionals, setting the strategic direction and ensuring the delivery of high-quality, business-oriented legal support.
Become a member of several internal Governance Committees of the Boehringer Ingelheim Group of Companies and represent it externally, including in industry associations. Partner closely with senior business leaders to identify opportunities, manage risk, and support the achievement of the company’s strategic objectives. Report directly to the Global General Counsel and contribute as a member of the Global Legal Leadership Team to the overall strategy, transformation agenda, and performance of the global Legal & Compliance organization.
Requirements Extensive senior-level experience as an in-house counsel and/or transactional lawyer within a leading international law firm, with deep expertise in corporate law, M&A, venture capital and fund investments, and corporate governance. Broad knowledge of legal and regulatory aspects relevant to transactions and governance, including capital markets and insider trading regulations, antitrust and competition law, ESG requirements, and international corporate structures. Strong understanding of the pharmaceutical industry , coupled with the ability to advise on a wide range of legal and regulatory matters affecting global healthcare organizations.
Extensive track record in leading and negotiating complex, high-value, and cross-border M&A transactions and other strategically critical initiatives. Significant leadership experience with a demonstrated ability to build, develop, and motivate high-performing teams while successfully navigating complex international matrix organizations. A strategic and forward-looking mindset, with the ability to anticipate emerging trends and translate them into actionable business and legal strategies.
Excellent stakeholder management and influencing skills, including the credibility and executive presence to advise and challenge senior leaders. A collaborative , inclusive and forward-looking leadership style, combined with strong emotional intelligence, sound judgment, and a commitment to developing people. Outstanding relationship-building skills with the ability to establish trusted partnerships and leverage influential networks across a global organization.
High levels of energy, resilience, adaptability, and personal integrity, combined with a strong commitment to company culture and values.
